They have different purposes, conditions and processes and should be assessed separately based on the company's FYE, size and circumstances.
Annual Return
The company's annual information filing with ACRA. A non-listed private company generally files within 7 months after its FYE.
AGM
Whether an AGM is required depends on the company's circumstances. Some private companies may be exempt or use written resolutions.
Financial Statements
Preparation, audit and filing requirements depend on the company's size, audit exemption and applicable law.
Note: An Annual Return is not a corporate income tax filing. Tax filing is regulated by IRAS and must be handled separately.
Company changes
